Every person in the company owes a fiduciary responsibility
to protect the data of the company.
However, legal responsibility for a penetration or breach is many times
only found with the directors, management and those responsible for
the security and storage of the data.  Thus so called ministerial
employees must report problems if they would be expected to see and
recognize them, but thats all.  A ministerial employee would not even be
responsible to report the penetration unless this was a specific duty
given to him legally.
What Cyber Security Policies Must Be Implemented To
Prevent A Breach to your system of Data:
The Answer is any policy that will prevent the breach.  That being said
to prevent legal liability you must show that your policies and security
protocols are at the minimum up to the industry standard "best
practices"  However, if your industry standard is below the standards of
other industries and your data collection or retention is similar you
would be expected to meet or exceed the standards of that industry.  
Thus, it is never enough to be as good as everyone else but you must
be better if you wish to have the best chance of avoiding maximum
liability.
